David C. Rex is a partner at Jackson Walker, where he specializes in assisting entrepreneurs and emerging growth companies from formation to exit, with an emphasis on venture capital and general corporate finance, strategic alliances and joint ventures, mergers and acquisitions, and related contract law. Mr. Rex is a member of Jackson Walker’s Corporate and Securities, Internet/E-Commerce, Life Sciences and Medical Technology, Technology, and Transactions practice groups.

Mr. Rex has a diverse background in domestic and international corporate, securities, finance, banking, and related tax law matters, both as general counsel and in private practice. Mr. Rex has extensive expertise in private merger, acquisition and divestiture transactions, including business analysis, due diligence, negotiation of definitive agreements, financing, and research and resolution of related complex legal issues. He also has experience with private equity investments from both an investment vehicle and portfolio company standpoint, including preparing private placement memorandums, definitive agreements, and marketing presentations.

Mr. Rex is the creator of the Basic Training for Entrepreneurs conferences for entrepreneurs which are designed to expand their knowledge of the process for taking their business concepts from idea to exit and to help improve the odds of success for their venture. Mr. Rex also operates the Startup Venture Toolbox web site that provides free information and assistance to entrepreneurs with the goal of helping entrepreneurs achieve their objectives as well as providing a forum for the exploration of entrepreneurial ideas and issues. He regularly speaks on legal and business issues related to venture capital, private equity and other alternatives for financing businesses, intellectual property, unfair advantage and ethical issues in venture capital and private equity transactions.
